TERMS AND CONDITIONS
This is a legally binding agreement between Northwest Antigen Lab, LLC (“NW Antigen”), owner of the oasisproviders.com Site, and you. Please carefully read this Agreement in full before using or accessing the oasisproviders.com Site. As a condition to your using and accessing the oasisproviders.com Site, you agree to be bound by the terms and conditions of this Agreement, which includes, without limitation, any additions or changes thereto or hereto which may be added to, changed or amended from time to time, without notice, all of which collectively are referred to as the “Agreement.” You are responsible for reviewing the Agreement from time to time for any changes, updates or additions to the Agreement. Use of or access to the oasisproviders.com Site shall constitute your acceptance of and agreement to the terms and conditions of this Agreement. IF YOU CAN NOT OR DO NOT WISH TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE OR ACCESS THE oasisproviders.com Site.
The term “NW Antigen” includes the agents, representatives, affiliates, managers and members of Northwest Antigen Lab, LLC.
The oasisproviders.com Site is intended primarily for use by medical professionals and NW Antigen and its representatives. NW Antigen and our members, managers, employees, agents, affiliates, licensors, representatives, contractors, and suppliers do not provide medical services or advice as part of the oasisproviders.com Site and nothing contained on the oasisproviders.com Site is intended to be used for medical diagnosis or treatment. Always talk with your doctor if you have questions about your symptoms, diagnosis and treatment.
1. You represent and warrant that you are at least eighteen (18) years of age and have the capacity to enter into this Agreement. You may use the oasisproviders.com Site if you are not eighteen (18) years of age provided your parents or legal guardian agree to this Agreement and your use of the oasisproviders.com Site.
2. The information and material contained in the oasisproviders.com Site are protected by copyright and other intellectual property laws and may not be published, in whole or in part, without the prior written permission of NW Antigen. The oasisproviders.com Site as a whole is protected by copyright and trade dress. You agree not to copy, duplicate, publish or otherwise disseminate the information or material on the oasisproviders.com Site except with the prior written approval of NW Antigen. All rights are reserved.
3. NW Antigen reserves the right to reject any registration in its sole discretion for any or no reason. Anyone registering as a provider or sales representative or providing any other information to NW Antigen represents, agrees and warrants (and NW Antigen may reject or cancel any registration for a breach thereof), as follows:
To timely pay all amounts due NW Antigen for services provided by NW Antigen.
That all information provided is true, accurate and correct to the best of your knowledge and belief.
To abide by the terms and provisions of this Agreement
4. All prices that may be posted in the oasisproviders.com Site are subject to change.
5. Users accessing and using the oasisproviders.com Site agree to provide all hardware, software, telephone or other communications equipment and/or service to connect to the oasisproviders.com Site and are responsible for all charges or other fees incurred with respect thereto. You agree to access and use the oasisproviders.com Site only for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, statutes, rules and regulations that may be applicable to your use of the oasisproviders.com Site. In connection with your use of and access to the oasisproviders.com Site, you agree:
Not to provide false information or a false identity to any person, including any person who has registered information or material on the oasisproviders.com Site.
Except for the purposes intended with respect to the oasisproviders.com Site, not to conduct any business, including solicitation through electronic mail or otherwise, without the express prior written permission of NW Antigen.
Not to compile or harvest the names, addresses or any other material or information of any person listing material or information on the oasisproviders.com Site or otherwise using or accessing the oasisproviders.com Site for the purpose of forwarding, mailing, transmitting or otherwise sending any “Spam,” “junk mail,” “pyramid schemes,” “chain letters,” or any unsolicited or unauthorized commercial message, solicitation, promotion or advertisement.
To be truthful and forthright in all messages or communications with all other persons using or accessing the oasisproviders.com Site.
To fully investigate the accuracy and completeness of any material or information submitted to NW Antigen by or through the oasisproviders.com Site.
Not use the oasisproviders.com Site for any purpose in violation of local, state, national or applicable laws.
6. NW Antigen intends for the information and material contained in the oasisproviders.com Site to be accurate and reliable. However, because the information and material have been compiled by NW Antigen from a variety of sources or submitted by third parties, all information and material contained in the oasisproviders.com Site is provided on an “AS IS” and “AS AVAILABLE” basis. You expressly agree to access and use the oasisproviders.com Site and the information and material therein at your own risk. NW ANTIGEN EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO OR REFERENCED BY THE OASISPROVIDERS.COM SITE, THE INFORMATION, MATERIALS AND THE PRODUCTS AND SERVICES OFFERED THEREIN INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. NW ANTIGEN MAKES NO WARRANTY, EXPRESS OR IMPLIED, THAT THE MATERIAL OR INFORMATION CONTAINED IN THE OASISPROVIDERS.COM SITE OR ANY INTERNET SITE LINKED TO OR FROM THE OASISPROVIDERS.COM SITE WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE OASISPROVIDERS.COM SITE WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE COMPONENTS.
7. NW ANTIGEN WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND OR NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION, ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR USE OR PERFORMANCE OF, OR ACCESS TO, THE OASISPROVIDERS.COM SITE OR ANY SITE LINKED TO OR FROM THE OASISPROVIDERS.COM SITE AND THE MATERIALS, INFORMATION, PRODUCTS AND SERVICES OFFERED THEREIN WHETHER SOUNDING IN CONTRACT, TORT OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY NEGLIGENCE OF NW ANTIGEN. IN NO EVENT SHALL NW ANTIGEN BE LIABLE IN EXCESS OF THE LESSER OF FIFTY DOLLARS ($50) OR ANY AMOUNTS PAID BY YOU TO NW ANTIGEN OR FOR THE MATERIALS, INFORMATION, PRODUCTS, OR SERVICES WITH RESPECT TO WHICH LIABILITY IS FOUND. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT NW ANTIGEN IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE, FRAUDULENT, OR OTHERWISE ILLEGAL CONDUCT OF ANY USER OR PERSON LISTING ANY MATERIAL OR INFORMATION ON THE OASISPROVIDERS.COM SITE.
8. By using or accessing the oasisproviders.com Site you agree to indemnify and hold harmless NW Antigen and its affiliates, members, managers, agents and employees and hold them harmless from any and all claims and expenses, including attorney’s fees, arising from or relating to your use of or access to the oasisproviders.com Site or any internet site linked thereto or therefrom or the information, materials, products and services offered or contained therein, any breach of this Agreement, or your submission of information or material to oasisproviders.com (the “Claims”). By using the oasisproviders.com Site and the information and materials contained therein, or submitting any information or materials to oasisproviders.com, you are hereby agreeing to release NW Antigen and its affiliates, members, managers, agents and employees from any and all claims, demands, debts, obligations, damages (actual or consequential), costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that you may have against them arising out of or in any way related to such Claims.
9. NW Antigen shall not be responsible or obligated to maintain copies, electronic or otherwise, of the oasisproviders.com Site or the information or materials contained therein. NW Antigen shall not be liable for any lost material, information or data resulting from the failure or operation of the oasisproviders.com Site or the servers on which it is hosted.
10. The oasisproviders.com Site is controlled and operated by NW Antigen from its offices in Oklahoma City, Oklahoma. This Agreement and any dispute or claim arising thereunder or relating to the oasisproviders.com Site or the use thereof shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to any conflict of law provisions. Any action or proceeding seeking to enforce any provision of, or based on any dispute, claim or right arising out of or relating to, this Agreement or the oasisproviders.com Site or the use thereof shall be brought solely and exclusively in the courts of the State of Oklahoma, or, if it has or can acquire jurisdiction, in the United States District Court for the Western District of Oklahoma, and each of the parties consents and submits to the personal and exclusive jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein. If any provision of this Agreement is held to be unenforceable, void or invalid by a court of competent jurisdiction, that provision shall be severable and shall not affect the validity or enforceability of the remaining provisions hereof, which shall remain in full force and effect. The failure or delay of NW Antigen to exercise or enforce any right or provision under this Agreement or any remedy with respect thereto, shall not constitute a waiver by NW Antigen of such right, provision or remedy. You may not assign any of your rights or obligations under this Agreement. All provisions of this Agreement shall survive the termination thereof.
11. NW Antigen reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the oasisproviders.com Site, or any part thereof, with or without notice.
12. This Agreement constitutes the entire agreement between you and NW Antigen with respect to the oasisproviders.com Site and supersedes any prior or contemporaneous communication (whether oral, written, or electronic) between you and NW Antigen with respect to the oasisproviders.com Site. This Agreement also governs and is incorporated into any additional agreement or arrangement between NW Antigen and you.
13. NW Antigen reserves the right to terminate your account and access to all or part of the oasisproviders.com Site, and remove any materials, information and data that you have posted on the oasisproviders.com Site, in our sole discretion, without notice, at any time and for any reason, including, without limitation (1) a breach of these Terms and Conditions (2) unauthorized use of your user names or passwords or accounts or (3) unauthorized use of any information or materials provided by you.
